TERMS OF SERVICE
Before accessing and using the Services, please read these Terms carefully because they constitute a legal agreement between you and the Belgian Shepherd Health Project™ and its Authors. BY USING THE SERVICES, YOU AGREE TO THESE TERMS AND AFFIRM THAT YOU ARE ABLE AND LEGALLY COMPETENT TO DO SO.
We reserve the right to revise these Terms at our sole discretion at any time and without prior notice to you other than by posting the revised Terms on our Website. Revisions to the Terms are effective upon posting. The Terms will be identified as of the most recent date of revision. Your continued use of our Website after a revised version of these Terms has been posted on our Website constitutes your binding acceptance of the revised Terms from and after the date of such revision. For this reason, we encourage you to review these Terms any time you access or use the Services and to print out a copy of these Terms for your records.
If you wish to use the Website on behalf of a company, entity or organization (each, a ‘Subscribing Entity’), then you represent and warrant that you: (a) have the authority to bind such Subscribing Entity to these Terms and (b) agree to be bound by these Terms on behalf of such Subscribing Entity.
IMPORTANT NOTE: THESE TERMS CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE ANY DISPUTE WITH US THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, IF ANY, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Please see “DISCLAIMER OF WARRANTIES & LIMITATIONS OF LIABILITY” (Section 8) and “DISPUTE RESOLUTION” (Section 10) below for more information.

1. Definitions
- ‘Aggregated Genetic and Reported Information’: Genetic and Reported Information that has been combined with that of other users’ dogs and analyzed or evaluated as a whole, such that no specific dog may be reasonably identified.
- ‘Authors’: Creators of content, particularly educational/informational articles, slides and other media, as well as databases, reports and analyses of genetic information, provided to the Website. ‘Authors’ includes, but is not limited to, any person or entity that writes, creates, or otherwise causes content to appear on www.belgianshepherdhealthproject.org.
- ‘Belgian Shepherd dog’: Refers to all breeds of the Belgian Shepherd, including Belgian Tervuren (Tervueren), Belgian Sheepdog (Groenendael), Belgian Malinois, and Belgian Laekenois.
- ‘Belgian Shepherd Health Project™’: ‘We’, ‘us’ or ‘our’: Belgian Shepherd Health Project™ and its Authors (of educational media, surveys and analyses).
- ‘Content’: All information, text, images, data, links, or other material posted on our Website and Services that are (i) publicly available or (ii) which we permit you to access, whether created by us or provided by a third party for display through our Services.
- ‘DNA Testing and/or Research Services’: Services such as those offered by Embark, Genomia, Wisdom and other commercial labs; academic or government institutions like Cornell University, University of Bern, and the National Institutes of Health, that identify and study genetic sequences and/or mutations associated with specific traits and/or conditions of interest in Belgian Shepherds.
- ‘Genetic Information’: Information regarding your dog’s genotype (i.e., collection of genes) obtained through processing and analysis of your dog’s saliva, semen, skin cells, hair or blood.
- ‘Partners’: Any company or organization that the Belgian Shepherd Health Project™ partners with in order to provide discounted tests and analyses of data.
- ‘Personal Information’: Information, such as name and address, that can be used to identify you and your dog(s), either alone or in combination with other information.
- ‘Reported Information’: Information about your dog that you enter in to surveys, forms or features while signed in to your account on our Website, including any veterinary information provided by you or your veterinary care or dog services provider(s).
- ‘Services’: Our website, surveys, analyses.
- ‘Terms’: These Terms of Service, which are a legally binding agreement that governs your access to our Services.
- ‘You’ or ‘your’: You.
- ‘Website’: belgianshepherdhealthproject.org and its subdomains.
2. Our Services
a. Website. www.belgianshepherdhealthproject.org is an interactive platform for which dog sportsmen and women, breeders, dog owners or other persons interested in Belgian Shepherd dogs can learn how to support a healthy future for the Belgian Shepherd.
Our Website provides you with the opportunity to create an account, provide your dog’s reported information, and review and analyze information relating to your dog’s Genetic Information.
Our website may also provide, in conjunction with other organizations, access to reduced price kits with canine DNA testing services.
We do not endorse, warranty or guarantee the effectiveness of any specific course of action including considerations for breeding, resources, tests, products, analyses, opinions, or other information that may be mentioned on our Website. Such information is provided for informational purposes only, and for discussion with your veterinarian. You may also be given the opportunity to provide records from your dog’s veterinarian and/or other dog service providers that you use. Providing that information is optional and may or may not be used to enhance your experience, provide you additional services, and/or conduct research.
b. Research. We will use your dog’s Genetic Information and/or Reported Information in combination with that from other Belgian Shepherds to conduct aggregated statistical analyses to expand the understanding and practical application of genetic knowledge in Belgian Shepherd veterinary care and dog wellness generally. Any unusual findings may lead to a more targeted research project, which could be based entirely on the analysis of survey data or might result in collaborative research with DNA Testing and/or Research Services to attempt to identify potential genetic causes correlating to any statistical anomalies discovered.
c. Our Services are for research, informational, and educational use only. Any information you obtain from our Services is not designed to diagnose, prevent, or treat any condition, diseases or state of health. The Belgian Shepherd Health Project™ and its services are not a substitute for professional veterinary care. Each dog is unique and their physical and behavioral traits will be the result of multiple factors, including genetics, biometrics, training, handling, and environment. Analyses are not intended to diagnose diseases or predict behavior in any particular dog. Users are encouraged to consult with a veterinarian or canine reproductive specialist for advice as to their specific situations.
We may alter, suspend, or discontinue our Services in whole or in part, at any time and for any reason, without notice. Our Services may also periodically become unavailable due to maintenance or malfunction of computer equipment or for other reasons. In order to use our Services, you must have a computer with Internet access that can access our Website.
When using our Services, your telecommunications carrier’s normal rates and charges apply. We are not responsible for any charges you incur from your telecommunications carrier as a result of use of our Services. You are responsible for ensuring that, at all times while using our Services, you are not in violation of your agreement with your telecommunications carrier.
None of the Authors, contributors, administrators, volunteers, or anyone else connected with this project is responsible for the use of the information contained in or linked from these web pages, nor any products, conclusions, or recommendations associated with any other organization or project, current or otherwise. The Belgian Shepherd Health Project™ and its Authors are not liable for misrepresentation, errors, or omission of data provided for surveys, analyses, and other services that it may offer.
d. Other Products and Services. From time to time, the Belgian Shepherd Health Project™ may offer new or different products or services or modify its current offerings.
3. Use of Information and Privacy
Our Privacy Policy (the ‘Privacy Policy’), describes the collection, use and disclosure of data and information by us in connection with our Services. The Privacy Policy, as may be updated by us from time to time in accordance with its terms, is hereby incorporated into these Terms, and you hereby agree to the collection, use and disclosure practices set forth therein. You may not use the Services if you do not agree to the Privacy Policy. You can acknowledge and agree to the Privacy Policy by (1) clicking to accept or agree to the Privacy Statement, where this option is made available to you by the Belgian Shepherd Health Project™ for any Service; or by (2) actually using the Services.
Unless you elect not to allow your dog’s Genetic Information and Reported Information to be used for research purposes, we may include your dog’s information in any Aggregated Genetic Information and Reported Information analyses, which may be disclosed to third-party non-profit and/or commercial research partners, or other third parties, who may publish such information in a peer-reviewed scientific journal. Our research may be sponsored by, or conducted on behalf of or in collaboration with, third parties, such as non-profit foundations, academic institutions or DNA testing companies.
We will never release identifying information combined with your dog’s individual-level Genetic Information and/or Reported Information to any third party without asking for and receiving your explicit consent to do so, unless required by law or regulation.
By using our Services, you consent to receiving communications from us as further described in the Privacy Policy. Please read the Privacy Policy to learn more about your choices regarding our electronic communications practices. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including written communications.
In the event we undergo a business transaction such as a merger, acquisition by another company or organization, or sale of all or a portion of our assets, your Personal Information may be among the assets transferred. You acknowledge and consent that such transfers may occur and are permitted by this Privacy Policy, and that any acquirer of our assets may continue to process your Personal Information as set forth in this Privacy Policy.
Please make sure that you carefully read our Privacy Statement to learn about the information that we collect on the Website and how we process it. Without limiting the terms of our Privacy Statement, you understand that the Belgian Shepherd Health Project™ does not and cannot guarantee that your use of the Website and/or the information provided by you through the Website will be private or secure. The Belgian Shepherd Health Project™ is not responsible or liable to you for any lack of privacy or security you may experience. You are responsible for using the precautions and security measures best suited for your situation and intended use of the Website. We reserve the right at all times to disclose any information as the Belgian Shepherd Health Project™ deems necessary to satisfy any applicable law, regulation, legal process or governmental request.
The Belgian Shepherd Health Project™ web website uses cookies and other technologies so that we, and our partners, can remember you to serve personalized results for your dog and understand how you and other visitors use our Website.
4. User Accounts
You must register for a User Account to access certain aspects of the Services, including reports from databases, and any merchandise we may offer. As part of any such registration process, you will select a user name and a password. You agree that the information you supply during that registration process will be accurate and complete. You also agree not to (i) select, register, or attempt to register, or use a user name of another person with the intention of impersonating that person; (ii) use a user name of anyone else without authorization; (iii) use a user name in violation of the intellectual property rights of any person; or (iv) use a user name that the Belgian Shepherd Health Project™ considers to be offensive. We reserve the right to reject or terminate any user name or password that, in our sole discretion, we deem offensive.
You are solely responsible for preserving the confidentiality of your password and you agree to notify the Belgian Shepherd Health Project™ of any known or suspected unauthorized use of your User Account. Further, you agree that you are responsible for all statements made and acts or omissions that occur on your User Account while your password is being used. If you believe someone has used your password or account without your authorization, you must notify the Belgian Shepherd Health Project™ immediately. The Belgian Shepherd Health Project™ reserves the right to access and disclose any information including, without limitation, user names of accounts and other information to comply with applicable laws and lawful government requests.
5. Use of the Belgian Shepherd Health Project™ and its Authors Content
You acknowledge that the Services content presented to you as part of the Services, whether original Belgian Shepherd Health Project™ and its Authors services content or sponsored content within the services, is protected by copyright and/or other intellectual property rights that are owned by Belgian Shepherd Health Project™ and/or its Authors and/or sponsors who provide that content to the Belgian Shepherd Health Project™ and/or its Authors (or by other persons or companies on their behalf). The Belgian Shepherd Health Project™ and/or its Authors grants you a Limited License to copy and distribute free of charge, any of the Services content, provided you: (i) provide the Services content as it appears on the Belgian Shepherd Health Project™ website or the Belgian Shepherd Health Project™ and its Authors-generated reports with no changes including but not limited to presenting sections which might tend to misrepresent the substance of the Services content; (ii) include the following attribution on the first page of any materials you distribute: ©Belgian Shepherd Health Project™ (copyright date), or the name of the Author with the copyright notice included, All Rights Reserved; distributed pursuant to a Limited License from the Belgian Shepherd Health Project™; and (iii) agree you have no right to offer anyone else any further right with respect to this Services content. Aside from the Limited License provided in this paragraph, you may not modify, rent, lease, loan, distribute, sell, or create derivative works based on this Services content (either in whole or in part) unless you have been specifically told that you may do so by the Belgian Shepherd Health Project™ or by the owners of that content (Authors), in a separate written agreement.
Subject to these Terms and any other agreement between you and us, we hereby grant you a limited, nonexclusive, non-sublicensable, revocable license to access and use the Content, subject to any restrictions on certain types of Content set forth in these Terms. ‘Content’ means all information, text, images, data, links, or other material posted on our Services that are (i) publicly available or (ii) which we permit you to access, whether created by us or provided by a third party for display through our Services.
You understand that the Content that is posted on our Website or through our Services is used by you at your own risk.
We reserve the right to make changes to Content, descriptions or specifications of our Services or other information without obligation to issue any notice of such changes.
Nothing contained in our Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use our Services or any Content, through the use of framing or otherwise, except: (a) as expressly permitted by these Terms; or (b) with our prior written permission or the permission of the third party that may own the trademark or copyright of material displayed on the website.
6. Trademark Rights
The names, trademarks, service marks, and logos of the Belgian Shepherd Health Project™ are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international trademark and copyright laws. All other trademarks, service marks, and logos (including third-party product names) are the property of their respective owners. The use or misuse of these trademarks is expressly prohibited and nothing stated or implied on the Website confers on you any license or right under any patent or trademark of the Belgian Shepherd Health Project™ or any third party.
7. Age Limitation
You must be above the age of majority in your place of residence to use the Services. By using the Services, you warrant that you are above the age of majority in your place of residence.
8. DISCLAIMERS OF WARRANTIES & LIMITATIONS OF LIABILITY
The Belgian Shepherd Health Project™ and its Authors warrant that The Belgian Shepherd Health Project™ and its Authors have validly entered into these Terms and have the legal power to do so. You warrant that you have validly entered into these Terms and have the legal power to do so.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. The Belgian Shepherd Health Project™ and its Authors specifically disclaim all warranties and conditions of any kind, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, freedom from defects, uninterrupted use and all warranties implied from any course of dealing or usage of trade. The Belgian Shepherd Health Project™ and its Authors do not warrant that (a) the Services will meet your requirements, (b) operation of the Website will be uninterrupted or virus- or error-free or (c) errors will be corrected. Any oral or written advice provided by the Belgian Shepherd Health Project™ and its Authors or its authorized agents does not and will not create any warranty. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES WHICH MEANS THAT SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
YOU AGREE THAT IN NO EVENT WILL THE BELGIAN SHEPHERD HEALTH PROJECT™ AND ITS AUTHORS BE LIABLE OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS OR BUSINESS INTERRUPTION), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER ARISING IN ANY WAY IN CONNECTION WITH THESE TERMS AND WHETHER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE), EVEN IF THE BELGIAN SHEPHERD HEALTH PROJECT™ AND ITS AUTHORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR FOR ANY OTHER CLAIM, DEMAND OR DAMAGES WHATSOEVER RESULTING FROM OR ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
The foregoing disclaimer of liability will not apply to the extent prohibited by applicable law in the jurisdiction of your place of residence. You acknowledge and agree that the above limitations of liability together with the other provisions in these Terms that limit liability are essential terms and that the Belgian Shepherd Health Project™ and its Authors would not be willing to grant you the rights set forth in these Terms but for your agreement to the above limitations of liability.
LEGAL NOTICE FOR NEW JERSEY RESIDENTS: The limitations of liability and exclusion of damages in this section do not apply to New Jersey residents.
9. INDEMNIFICATION
You agree to indemnify and defend the Belgian Shepherd Health Project™ and its Authors and its volunteers and agents from and against all losses, liabilities, actual or pending claims, actions, damages, expenses, costs of defense and reasonable attorneys’ fees brought against the Belgian Shepherd Health Project™ and its Authors by any third-party arising from your use of the Services or any violation of these Terms, the rights of a third-party or applicable law. The Belgian Shepherd Health Project™ and/or its Authors reserve the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification hereunder. In any event, no settlement that affects the rights or obligations of the Belgian Shepherd Health Project™ and its Authors may be made without the Belgian Shepherd Health Project™ and its Authors’ prior written approval.
10. DISPUTE RESOLUTION
These Terms are governed by and construed and enforced in accordance with the internal laws of the State of Delaware without giving effect to the principles of conflicts of laws of such state, and are binding upon the parties hereto in the United States and worldwide. Outside of the United States, terms are governed by and construed and enforced in accordance with the internal laws of the country of England. You and the Belgian Shepherd Health Project™ and its Authors agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to the interpretation or construction of these Terms.
YOU AND THE BELGIAN SHEPHERD HEALTH PROJECT™ AND ITS AUTHORS AGREE THAT ALL DISPUTES ARISING FROM YOUR RELATIONSHIP WITH THE BELGIAN SHEPHERD PROJECT AND ITS AUTHORS WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION IN THE MANNER SPECIFIED IN THIS SECTION 10 AND THAT YOU AND THE BELGIAN SHEPHERD HEALTH PROJECT™ AND ITS AUTHORS WAIVE ANY RIGHT TO BRING SUCH CLAIMS BEFORE ANY COURT OF LAW.
YOU AND THE BELGIAN SHEPHERD HEALTH PROJECT™ AND ITS AUTHORS FURTHER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.
Any dispute between you and the Belgian Shepherd Health Project™ and its Authors and its agents, employees, officers, directors, principals, successors, assigns, subsidiaries or affiliates (collectively for purposes of this Section 10, “BSHP Parties”) arising from or relating to these Terms and their interpretation or the breach, termination or validity thereof, the relationships which result from these Terms, including disputes about the validity, scope or enforceability of this agreement to arbitration (collectively, “Disputes”) will be settled by binding arbitration in the U.S. State of New York administered by the American Arbitration Association (AAA) in accordance with its International Arbitration Rules in effect on the date thereof.
A. Pre-Arbitration Claim Resolution. For all Disputes, whether pursued in court or arbitration, You must first give the Belgian Shepherd Health Project™ an opportunity to resolve the Dispute. You must commence this process by mailing written notification to the Belgian Shepherd Health Project™. That written notification must include (1) Your name, (2) Your address, (3) a written description of Your Dispute, and (4) a description of the specific relief You seek. If Belgian Shepherd Health Project™ does not resolve the Dispute to your satisfaction within forty-five (45) days after receipt of Your written notification, You may pursue Your Dispute in arbitration. You may pursue Your Dispute in a court only under the circumstances described below.
- Arbitration Procedures. If this Provision applies and the Dispute is not resolved as provided above (“Pre-Arbitration Claim Resolution“) either You or the Belgian Shepherd Health Project™ may initiate arbitration proceedings. If You reside in North America, the American Arbitration Association (“AAA“), http://www.adr.org, will arbitrate all Disputes. If You do not reside in North America, the International Centre for Dispute Resolution (“ICDR“), http://www.icdr.org, will arbitrate all Disputes. The arbitration taking place before the ICDR will be conducted in English before a single arbitrator. In either case, the arbitration shall be commenced as an individual arbitration, and shall in no event be commenced as a class arbitration. The arbitrator shall have the exclusive authority to decide all issues with respect to Section 10, including, but not limited to whether any particular claim asserted by You or Belgian Shepherd Health Project™ falls within the scope of this Section 10 and any alleged ambiguities in this Section 10.
- In Disputes before the AAA, the AAA’s Supplementary Procedures for Consumer-Related Disputes will apply for Disputes of less than $75,000, the AAA’s Commercial Arbitration Rules will apply for Disputes involving $75,000 or more, and in either instance the AAA’s Optional Rules For Emergency Measures Of Protection shall apply. The ICDR’s rules will apply to Disputes before that entity. AAA and ICDR rules are available at http://www.adr.org and http://www.icdr.org or by calling 1-800-778-7879. This Provision governs in the event it conflicts with the applicable arbitration rules of the AAA or ICDR. Based on the class action waiver set forth in the paragraphs above, under no circumstances will class action procedures or rules apply to the arbitration.
A single arbitrator will be selected in accordance with the AAA Commercial Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator will have the power to grant whatever relief would be available in court under law or in equity and any award of the arbitrator will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. The arbitrator will not, however, have the power to award punitive or exemplary damages, the right to which each party hereby waives. The arbitrator will apply applicable law and the provisions of these Terms and the failure to do so will be deemed an excess of arbitral authority and grounds for judicial review. The arbitrator’s decision must be with written explanation and remain confidential.
The Belgian Shepherd Health Project™ and its Authors and you agree that all Disputes will be submitted to arbitration on an individual basis only. Neither the Belgian Shepherd Health Project™ and its Authors nor you are entitled to arbitrate all Disputes as a class, representative or private-attorney action and the arbitrator will have no authority to proceed on a class, representative or private attorney general basis. If any provision of the agreement to arbitrate in this Section 10 is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced (but in no case will there be a class, representative or private attorney general arbitration). Regardless of any statute or law to the contrary, notice on any claim arising from or related to these Terms must be made within one (1) year after such claim arose or be forever barred. For purposes of this Section 10, these Terms and related transactions will be subject to and governed by the Federal Arbitration Act, 9 U.S.C. sec. 1-16 (FAA).
Please Note: By agreeing to these Terms, you explicitly agree that any claims or actions that you may otherwise have against the Belgian Shepherd Health Project™ and its Authors under the laws of any jurisdiction outside the United States are hereby waived, including without limitation, any claims or actions under the laws of your own country, and that your sole location and applicable law for any dispute is in the United States according to the terms of this Section 20.
LEGAL NOTICE TO NEW JERSEY RESIDENTS: The provisions in this section that (i) limit the period of time within which a claim may be asserted against the Belgian Shepherd Health Project™ and its Authors and (ii) exclude certain damages do not apply to New Jersey residents.
11. Termination
These Terms automatically terminate when you fail to comply with any term or condition of them. The Belgian Shepherd Health Project™ may terminate or modify your access to the Services, including the Website, with or without notice to you, at any time for any reason.
Termination will not limit any of the Belgian Shepherd Health Project™ and its Authors’ other rights or remedies. This Section 11, along with Sections 8, 9, and 10, survive termination of these Terms.
12. Links to Third Party Websites
Our Services may contain links to third party websites. These links are provided to you as a convenience, and we are not responsible for the content of any linked third party website. Any third party website accessed from our Services is independent from us, and we have no control over the content of that website. In addition, a link to any third party website does not imply that we endorse or accept any responsibility for the content or use of such website.
